QNB Online Banking Services Agreement

This Online Banking Services Agreement and Disclosure (the “Agreement”) is entered into between Qatar National Bank (“QNB”) (the “Bank”) and the customer of the Bank, who hereby subscribes to QNB Internet Banking Services (“The Services”).

This agreement sets out the rights and obligations of the Customer, and the Bank, in connection with his use of the Service. All Terms and Conditions of this agreement are legally binding and apply to all use of the customer's account whether by the customer or by any other person authorized by the customer, and the customer will be responsible for all such use. the customer is sometimes referred to in the agreement as “The customer” or “His” and the Bank is sometimes referred to as “QNB” or “QNB s.a.q - Lebanon branch” and/or “Its”. Please read these Terms and Conditions before the customer agree to be bound by them. By accessing this Site or any pages thereof, the customer unconditionally and irrevocably agrees to be bound by the Terms and Conditions. If the customer does not agree with these Terms and Conditions of this agreement, please do not access this site or any pages thereof.

THE LAW GOVERNING THIS AGREEMENT

This Agreement is governed by, construed and enforced in accordance with the laws of Lebanon. Both parties agree to submit to the jurisdiction of the Courts in Lebanon in connection with any dispute. This does not affect its right to pursue its remedies in the courts of any other jurisdiction that is considered appropriate by the Bank.

His existing account relationships and account agreements with the Bank will continue to be governed by and construed in accordance with the laws governing those account agreements.

RIGHT TO MAKE CHANGES TO THIS AGREEMENT

QNB s.a.q - Lebanon branch has the right to change the terms of this Agreement at any time (add, delete or amend terms, conditions and other provisions, fees, charges, or other terms described in this Agreement) by giving the customer notice either in writing, by placing prominent notices at its offices or branches, by posting the change on its electronic Banking site or by sending the customer a message via the Service.

For the avoidance of doubt, QNB s.a.q - Lebanon branch will give the customer 10 days’ notice of any change before it takes effect, except when notice has to be shorter as QNB may deem in its sole discretion in order to protect the security of the Service or in other circumstances beyond its control. Once the customer has received notice of any change in the terms of this Agreement, QNB s.a.q - Lebanon branch will treat his subsequent use of the service as his unconditional and irrevocable acceptance of the change (the customer has the right to end his use of the Service at any time).

THE VALIDITY OF THE TERMS OF THIS AGREEMENT

If part of the terms of this Agreement proves to be held invalid, legally unsound or unenforceable in any way, that part shall be construed consistent with applicable law as nearly as possible to reflect the original intent of the agreement. This will not affect the validity of the remaining terms.

If one of the terms of this agreement is unenforceable against one of the customers signing this Agreement, this will not in any way affect the enforceability of that term against the other signatories.

If QNB s.a.q - Lebanon branch relax any of the terms of this agreement once, this may be on a temporary basis or as a special case only. Such relaxation will not be deemed as a discharge and will not affect its right to enforce that term strictly at any other time.

COMMUNICATIONS BETWEEN US

The Customer should give QNB any other formal written notice (in hard copy form), in connection with the Service, to any of its branches in Lebanon where he/she maintains an account, to its head Office in Lebanon (mailing address listed below) or any other address QNB s.a.q - Lebanon branch may notify to the customer from time to time for this purpose.

Notices from the customer will be effective when received by courier at the address specified above.

Any complaints in connection with the Service should also be directed to any of its branches in Lebanon where the customer maintains an account, to its head Office in Lebanon or any other address QNB s.a.q - Lebanon branch may notify to the customer from time to time for this purpose.

Electronic mail is not a completely reliable or secure method of communication. the customer must not send QNB any:

- Notices in connection with the terms of this Agreement; or

- Sensitive communications, such as payment instructions (payment instructions should be sent through the Service in accordance with the terms of the relevant account which the customer holds with QNB). IF such sensitive communications are sent by the customer QNB s.a.q shall not assume any liabilities which may arise as a result of such dispatch.

Correspondence that requires expeditious handling, for example, if the customer needs to report an unauthorized transaction from one of his accounts, should be made by calling the Bank at +961 1 762222.

Except as otherwise provided in this Agreement, all notices required to be sent to the customer will be effective when QNB s.a.q - Lebanon branch mails or deliver them to the current address that QNB s.a.q - Lebanon branch has for the customer in its records.

QNB s.a.q - Lebanon branch will use the address the customer has given QNB most recently in connection with any of his Bank's Accounts.

The customer may register his mailing address through the physical application form, credit card account opening form and branch account opening form. Mailing address provided by the customer through any of the above mentioned mediums will be updated in Cards and Electronic Banking system of the Bank and in future will be used for any customer communication.

TERMINATION

This Agreement will remain in effect until it is terminated by the customer or by QNB.
The customer may cancel his use of the Service at any time by giving QNB 10 days written notice (or in any other way as provided herein or as QNB s.a.q - Lebanon branch notify the customer about from time to time) and by calling QNB at +961 1762222.

If the customer has multiple eligible accounts, the customer may not cancel the Service solely in respect of any one Eligible Accounts, unless the customer is notified by QNB to the contrary in writing.

This cancellation will become effective at the end of the 10 days’ notice period and will be applicable to his QNB online Services only. The other Agreements the customer may have with QNB will not be terminated or affected.

QNB s.a.q - Lebanon branch has the right to end or suspend the csutomer’s use of the Service at any time upon its sole discretion whenever it deems that necessary. QNB s.a.q - Lebanon branch will usually give the customer at least 30 days’ notice. However, QNB s.a.q - Lebanon branch may give the customer a shorter period of notice or no notice if QNB s.a.q - Lebanon branch considers it necessary, for example because of security concerns in connection with his use of Service or because QNB s.a.q - Lebanon branch are concerned that the customer has used or may use the Service to create an unauthorized overdraft or otherwise to operate any of his accounts in breach of his arrangements with QNB.

Upon termination:

- If the customer’s use of the Service comes to an end for any reason, this will not affect any instructions the customer has already given via the Service; however, QNB s.a.q - Lebanon branch reserve at its sole discretion the right to make no further recurring payments or transfers from his account(s) pursuant to this agreement, including recurring payments or transfers the customer has previously authorized. QNB s.a.q shall not assume any liability which may arise as a result of the provisions specified herein.
- The customer agrees to cancel all automatic or recurring transfers he has previously authorized, and that if the customer fail to do so, the customer is responsible for such payments.

If the customer BREAKS A TERM OF THIS AGREEMENT

The customer hereby irrevocably agrees to compensate QNB for any loss QNB s.a.q - Lebanon branch suffers as a result of his breach of any of the Terms and Conditions of this Agreement. The customer hereby irrevocably waive any rights of set-off which could be used to settle the amount of loss due hereof.

SCOPE OF AGREEMENT

The Services

This Agreement governs online access to his accounts with the Bank. The Terms and Conditions set forth herein are in addition to, and do not cancel or supersede, any other agreements or signature cards governing his deposits, loans or other business relationships with the Bank. All of the terms, conditions, agreements, representations, schedules, disclosures, and fees set forth in or associated with such other agreements and signature cards remain in full force and effect. If there is a conflict between the Terms and Conditions of this Agreement and any other relevant Terms and Conditions, the Terms and Conditions of this Agreement shall prevail. However, the persons the customer authorize to have access to and make transfers from his account(s) through QNB may not be the same persons who are authorized to sign on the account under his other Agreements and signature cards with QNB, or the customer may give them greater authority to conduct activities through QNB than they have under his other agreements and signature cards with QNB. In cases where his authorizations to other persons do not coincide with his authorizations for the same account(s) under the signature card Agreement(s), the signature card Agreement(s) will govern QNB transactions.

Instructions, fees and charges

Any instructions QNB s.a.q - Lebanon branch may issue for the use of QNB Online Banking Services (collectively, "Instructions") and any fees QNB s.a.q - Lebanon branch may charge are part of this Agreement.

The customer is solely responsible for ensuring the accuracy, adequacy and completeness of all instructions given by the customer via the Service (including but not limited to instructions to transfer funds out of his account). QNB s.a.q - Lebanon branch are not obliged to verify the accuracy, adequacy and completeness of his instructions. QNB s.a.q - Lebanon branch will not be liable for any loss or damage to the customer as a result of:

1. His instructions to transfer funds or for any other transaction being inaccurate, inadequate or incomplete in any manner; or

2. Any failure, refusal, delay or error by any third party through whom any such funds transfer is to be made, to transfer the funds to or to credit the account of the intended payee.

His liability for unauthorized instructions: the customer will be held liable for any loss and expense due to unauthorized use if the customer have acted fraudulently or, with negligence or if the customer is in default of any of the security obligations described in this Agreement.

The Customer hereby authorizes the Bank to debit the customer’s account with fees and charges (if any) for any instructions through the Service. Such fees and charges shall be as per the Bank’s current QNB Charges and Fees for the various services and subject to the amendment at the Bank.

The customer is responsible for all telephone charges incurred in connecting to QNB and for charges by any Internet service provider providing connection to the Internet.

OPERATING TIMES, CHANGES AND DISRUPTIONS

QNB s.a.q - Lebanon branch shall take reasonably practicable steps to have the Service be usually available for use. the customer accept, however, that routine maintenance requirements, excess demand on the systems and circumstances beyond its control may mean it is not always possible for the Service to be available during its normal operating hours.

In connection with the Service, QNB s.a.q - Lebanon branch are entitled at any time to:

- Change the mode of operation; or

- Add to, remove or otherwise change, end or suspend any of the facilities available; or

- End the Service.

If QNB s.a.q - Lebanon branch decides to change or end the Service, QNB s.a.q - Lebanon branch will try to give the customer 30 days’ notice or whatever shorter period of notice may be reasonable in the circumstances.

The Bank shall not be responsible if the customer is unable to gain access and/or use Services due to reasons beyond the Bank's control, including with limitation, any computer, telecommunication, electrical, technical or network failure or malfunction and routine maintenance/update requirements.

IF the customer HOLDS ANY JOINT ACCOUNTS

In connection with any account which the customer hold jointly (provided that this may be operated by either one of its holders with others, the customer agrees that:

- His joint account holders may operate the account using the Service on the terms set out in this Agreement. This applies even if the customer is not himself registered to use the Service (in accordance with the sections above); and

- Any single party to a joint account may validly give instructions via the Service in connection with that joint account.

In connection with any account which the customer holds jointly with others and requires two or more authorized signatories to be operated i.e.: Joint "and" / “and/or” accounts, the customer and the joint signatories may only be able to utilize such part of the service which allows the customer only to obtain information about the account, including but not limited to the balance of the account, if this service is available.

If more than one person has signed this agreement and one of the customer withdraws from the Service, this will not affect the use of the service by the others, except in the circumstances outlined in section above. QNB s.a.q - Lebanon branch will be entitled to end his use of the service immediately on all his joint accounts if any of his joint account holders notifies QNB:

- that the joint account can no longer be operated on his instructions alone; or

- That he/she is no longer prepared to accept that the customer may operate the joint account using the Service.

The provisions of section above override any other existing arrangements in connection with his authority to operate (a) joint account(s).

DESCRIPTION OF SERVICES AND LIMITATIONS ON QNB

General Description of Services

The customer agrees that the Service will be available on all eligible accounts with the Bank, whether open now or will be opened in the future, including any joint accounts the customer holds with others, and it may include accounts under credit facilities granted to the customer. The Service cannot be used on some types of accounts and the Bank will advise the customer from time to time as to which accounts are eligible.

The customer also agrees that his entire telephone conversation with the authorized representative may be recorded at the discretion of the Bank for any particular purpose including use in the court of law for evidence purposesSuch records will be deemed by the Customer to be true and accurate.

The customer irrevocably and unconditionally accepts as binding any Service availed and/or transaction and/or instruction made or given through the Service by the customer at his own risk and responsibility.
The Bank's records of any transaction/Service processed/availed through the Service shall constitute binding and conclusive evidence of such transaction/Services.

When the customer gives an instruction via the Service, QNB s.a.q - Lebanon branch will act on that instruction in accordance with the cut-off times notified to the customer through the Service. From time to time QNB s.a.q - Lebanon branch may at its sole discretion notify the customer of changes to these cut-off times. Instructions given at any other time may not be acted on until the next Business day.

The Services package enables the customer to:

-

search transaction histories and obtain balance information on his accounts with the Bank the customer include in his Service program, which may include checking, savings, money market, certificates of deposit, lines of credit, installment loans, real estate loans and commercial loans.

Transfer funds between his eligible accounts.

-

Use bill payment Services.

This list is not exhaustive and the Bank may offer additional or different QNB Services in the future, which shall also be governed by this agreement, as amended.

Types of Transfers and Limitations

The customer can make an internal transfer of funds from one account to another within his QNB Customer ID, such as a transfer from a savings account to a current account. the customer can also request the Bank to make the remittance to third parties within QNB or to another Bank. When acting upon his instructions to transfer to a third party, in addition to the Terms and Conditions stated herein, the following will apply:

a. Transfers may be limited in amount as provided in its account agreements with the customer governing these Services or in accordance with Bank policies. The Bank reserves the right to further limit the frequency and amount of transactions from his accounts for security or credit reasons, as the Bank may determine at any time at its sole discretion.

b. The Bank is entitled but not obliged to send the transfer entirely at his risk.

c. The Bank shall not be liable for any loss, delay, error, omission which may occur in the transmission of the message or for its misinterpretation when received or any delay caused by the clearing system of the country in which the payment is to be made or any act, default or negligence of the beneficiary's Bank in collecting the remittance. In no event shall the Bank under any circumstances be liable for any loss of profits or contracts or special, indirect or consequential loss or damages.

d. All charges/commissions outside Lebanon are for the beneficiary's account, the transfer charges/commissions should be paid by the initiator/customer.

e. The Bank reserves the right to send this transfer from a different place other than the one specified by the remitter if operational circumstances so require.

f. Encashment of the remittance is subject to any exchange control or other restrictions which may be imposed by the rules and regulations of the country where encashment is to be made. Neither the Bank nor its correspondents or agents shall be liable for any loss or delay caused by any such rules and regulations.

g. The Bank will use reasonable endeavors to process applications on the same day if received by the Bank from Monday to Friday inclusive before 1:00p.m. And on Saturday before 12 p.m. (or as may be notified by the received Branches or centers). Applications received after such cut-off time will be processed on the next working day. For this purpose, Sunday is not a working day. Such cut-off periods should be in compliance with the local regulations and provisions of BDL circulars.

h. Applications for same day value are subject to cut-off times related to the geographical location of the destination as Well as BDL circulars and regulations in this respect.

i. In case a remittance is cancelled for any reason, the Bank shall, at its discretion make the payment to the applicant at the prevailing buying rate for the relevant currency less all charges and expenses.

j. The Bank reserves the right to revise all remittance charges from time to time without prior notice.

Bill Payment Service

Bill Payment Service is an electronic payment system that permits the customer to initiate and authorize payments from his accounts to payees, which the customer has selected in advance to receive payments by means of this Service. ("Payee" is a person or business the customer is paying). the customer has the option of setting up a payment to occur only on demand or on a recurring frequency. Recurring payments are payments of a fixed amount that are paid at a regular time interval, such as monthly; and on demand payments are payments that vary in amount and/or date. After the customer has established a recurring or on demand payment, the Bank will automatically execute bill payments according to his instructions until the customer have properly notified the Bank, in accordance with the Bank's procedures in effect at that time, of any cancellation of his instructions. The customer may notify the Bank as per the terms listed in the section above “Communications Between Us”.

To participate in QNB Bill Payment ("Bill Payment") the customer must have a current account with the Bank. When the customer has entered and transmitted payment instructions, the customer irrevocably authorizes the Bank to withdraw funds from his account accordingly. The customer may use Bill Payment to authorize automated recurring payments from any of his current accounts. His payment will be processed within 3 working days after his selected payment date, so the customer has to take into account these delays when scheduling his payments.

The Bank reserves at is sole discretion the right to refuse to pay certain payees. The Bank also reserves at its sole discretion the right to terminate the customer’s use of the Bill Payment Service at any time.

If there are insufficient funds in the account to make payments the customer has authorized, one attempt will be made each business day after the failed attempt to fund the payment. The customer is responsible for any Non-Sufficient Funds ("NSF") or overdraft charges the Bank may impose, as stated in the Account Agreements governing his accounts.

The Bank reserves the right to refuse to honor payment requests that reasonably appear to the Bank to be fraudulent, incomplete, erroneous, or if the customer does not follow the Bank's instructions for Bill Payment. In addition, the Bank will not be able to execute any Bill Payment if the payee cannot or will not accept such payment.

If a check has to be issued as a result of the customer’s usage of the Service, the customer acknowledges and understands that the payment will take between five (5) to ten (10) business days after it is debited from his account in order to be fully settled. Further delays may be caused by the failure of the payee to process a payment when received.

The payment methods will be chosen at the sole discretion of the Bank. It is the customer’s responsibility to authorize his Bill Payments in such a manner that his bills are paid on time. The customer is responsible for any late payment or finance charge that may be imposed as a result of his failure to schedule payments or transmit payment instructions in a timely manner. QNB s.a.q - Lebanon branch is not responsible for any delay or other adverse consequence that results or is alleged to result from the choice of payment methods, from delays in the delivery of mail or the improper handling or transmission of payments by a third party, or the failure of a payee to accept, process or properly post a payment in a timely manner.

To cancel a bill payment that the customer has scheduled, the customer must cancel the payment online via the Services 3 working days prior to its due date i.e. 3 working days before the date the payment is scheduled to be debited from his account.

Overdrafts and Payments Order

The customer will not use the Service to create an unauthorized overdraft on any of his accounts maintained with the Bank and QNB s.a.q - Lebanon branch is entitled to refuse to accept any instruction that would do so.

It is the customer’s responsibility to ensure that he has enough funds available in an account from which he instructs QNB to make a payment or a transfer.

If an unauthorized overdraft is created, QNB s.a.q - Lebanon branch may take any action. QNB s.a.q - Lebanon branch think fit and charge any overdraft interest and charges to the account in question (in accordance with the Terms and Conditions of that account). The customer agrees that:

1. It is his sole responsibility to make sure that no unauthorized overdrafts are created; and

2. The customer will not rely on the operation of the Service to prevent an unauthorized overdraft being created. In particular, the customer must remember that his Cheques and any payment instructions the customer has given via the Service may not be given immediate value or immediate effect and might not always be immediately reflected in the balance on his account.

3. When QNB s.a.q - Lebanon branch receives a transaction instruction from the customer through the Service, QNB s.a.q - Lebanon branch will be entitled to debit any payment plus any charges payable for the transaction from the account the customer has specified.

4. Once the customer has given an instruction through the Service, the customer will not be able to reverse it.

5. If QNB s.a.q - Lebanon branch comes to believe that an instruction may not have been properly authorized by The customer, QNB s.a.q - Lebanon branch will be entitled, after making reasonable efforts to check whether it was properly authorized, to take steps to reverse any action taken on the basis of that instruction. QNB s.a.q - Lebanon branch will not be responsible for any loss to the customer that results from such a reversal.

6. If two transactions are posted during the same business day and his account balance does not allow the execution of both transactions, the Bank will adopt the First In First Out Rule.

7. If two transactions are posted simultaneously, it will be at the sole discretion of the Bank to decide which one to process first.

8. If QNB s.a.q - Lebanon branch executes a transaction that the customer makes or authorizes and QNB s.a.q - Lebanon branch subsequently learns that the customer has insufficient funds for the transaction, the customer agrees to reimburse immediately QNB upon its demand, and the customer further agrees that QNB s.a.q - Lebanon branch may reverse the transaction or offset the shortage with funds from any other deposit account(s) the customer has with QNB to the extent permitted by the applicable law and the terms of any other relevant Account Agreements. No right of set-off will be claimed by the Customer for the purposes specified herein.

QNB s.a.q - Lebanon branch will be under no obligation:

1. To reverse an instruction the customer has given; however, if the customer does ask QNB s.a.q - Lebanon branch to reverse an instruction after the customer has given it, QNB s.a.q - Lebanon branch may at its discretion try to do so to the extent that this is possible under the rules and practices of the Banking system. the customer agrees that he will be responsible for any costs QNB s.a.q - Lebanon branch incurs as a result.

2. To accept an instruction that is conditional or reversible or which requires QNB s.a.q - Lebanon branch to pay a third party sooner than the bank would be able to pay them following its normal Banking practices. QNB s.a.q - Lebanon branch may, when QNB s.a.q - Lebanon branch believes it is justified in doing so, refuse to carry out an instruction given via the Service; or require written confirmation from the customer of a particular instruction.

Checking his statements

If the customer becomes aware of any transaction on any of his accounts that has not been validly authorized by the customer, the customer must notify the Bank immediately at his sole liability by telephoning on Tel. No. +961 1 76 22 22 or any other number QNB s.a.q - Lebanon branch may advise the customer from time to time for this purpose, followed by a written notification to its main branch in Lebanon or sending a written request to POBOX 11-210, Riad el Solh – Beirut, Lebanon. For this purpose, the customer is reminded that he must, as is required to for all his accounts, check all its Bank statements for any unauthorized transactions.

SERVICE SOFTWARE AND HARDWARE

Computer Requirements

In order to use QNB online Banking Service, the customer must have his own Internet Service Provider and the necessary computer equipment required by the browser, which the customer selects. In this Agreement, his computer and the related equipment are referred to together as his "Computer." the customer is responsible for the installation, maintenance, and operation of his Computer and his software. The Bank shall no assume any liabilities which may arise as a dysfunction, discrepancy caused by the Customer’s equipment.

Software compatibility

Each time the customer accesses the Service, it may automatically provide his System with the service software necessary to enable the customer to access and operate the Service. Alternatively, the Service Software may be supplied to the customer in some other way. It is his sole responsibility to ensure that the Service Software supplied to the customer is compatible with any computer or other device from which the customer access the Service and any software on that computer or other device.

QNB s.a.q - Lebanon branch shall not be liable to the customer for any loss the customer suffer as a result of any incompatibility between the Service Software and any computer or other device from which the customer access the Service.

Protecting against Viruses

The customer must take all reasonably practicable measures to ensure that any computer or other device from which the customer accesses the Service is free of any computer virus or similar device or software including, without limitation, devices commonly known as software bombs, Trojan horses and worms (together "Viruses") and is adequately maintained in every way. The Service can be accessed through the Internet or other communication channels as the case may be, public systems over which QNB s.a.q - Lebanon branch has no control. The customer must therefore ensure that any computer or other device the customer uses to access the Service is adequately protected against acquiring Viruses.

Using other people's devices

The customer must not access the Service using any computer or other device which the customer does not own unless the customer has first obtained the owner's permission to do so. If the customer breaks this rule, the customer must compensate the Bank immediately for any and all loss QNB s.a.q - Lebanon branch suffers as a result. No right of set-off will be used by the customer for the purposes specified herein.

Access through third party Services

QNB s.a.q - Lebanon branch cannot be responsible for any Services through which the customer access the Service that are not controlled by QNB, or for any loss the customer or the Service provider may suffer as a result of the customer using such a Service. the customer must comply with all the Terms and Conditions of such a Service and Service provider and pay all the charges, damages etc connected with it.

Ownership rights in connection with the Service Software and other information

By supplying the customer with the Service Software to access the Service, QNB s.a.q - Lebanon branch is granting the customer a non-exclusive, non-transferable, temporary license to use the Service Software for the purpose of accessing the Service, and for no other purpose. The Service Software and all other material and information supplied to the customer including the User Guidance, contains valuable information that belongs to QNB or others. the customer must not:

1- Use them except in connection with accessing the Service;

2- Take copies, sell, assign, commercially rent, sub-license, otherwise transfer them to any third party; or

3- Try to decompile, reverse engineer, input or compile any of the Service Software.

If the customer accesses the Service from a country outside Lebanon the customer is responsible for complying with the local laws of that country, including (but not limited to) obtaining any license needed for the import / export of the Service Software to that country.

Security Codes

To enable the customer to use the Service, the Bank will give the customer a user identification code (Username) and an initial password, designated as his credentials (Security Codes), and the customer may then choose his own password for the Service. Both will be used to identify the customer whenever the customer accesses the Service. Please note that the customer is solely responsible for all transactions authorized or made using the credentials that are given to him. The customer is also responsible for the use of the Services, including any transactions that may be unintentionally or inadvertently authorized or made, and any losses, charges, or penalties incurred as a result.

The customer should keep his Username and Password confidential and ensure that the customer alone is able to access and give instructions on his Eligible Accounts using the Service; the customer must adopt and at all times maintain the following security procedures. The Bank shall not be held liable for any act, omission, negligence, error of judgment of the Customer resulting in a breach of the specified confidentiality as reported in this clause.

Safeguarding his Security Codes

In connection with his Security Codes:

1. The customer should change his Password regularly and shall do so whenever the Service requires the customer to do so. the customer should not choose a Password the customer has used before.

2. Whenever the customer chooses a Password, the customer must take care not to choose a number that is likely to be guessed by anyone trying to access the Service pretending to be the customer. For example, the customer should avoid his own or a relative's birthday, or any part of his telephone number.

3. The customer must take all reasonable steps to ensure that the customer safeguard his Security Codes at all times, whenever possible. the customer must not disclose any details of his Password or Security Codes to anyone else, including to someone who is joint account holder with the customer, or to a member of its staff, or to someone giving assistance on a technical helpdesk in connection with the Service.

4. The customer must not record his Security Codes in a way that could make them recognizable by someone else as Security Codes.

5. If the customer discover or suspect that a Password or any part of them are known to someone else, lost, stolen or otherwise compromised, the customer must immediately change the Password himself through the Service, or ask to replace the old password with a new one at one of QNB S.a.q. Lebanon branches. Please note that the Bank will not under any circumstances be held responsible for any unauthorized use of the Services.

Other security safeguards:

1. The customer must not allow anyone else to operate the Service on his behalf.

2. The customer must not leave his System unattended while the customer is on-line to the Service. This applies whether his System is a device the customer have sourced independently of QNB or a device provided by QNB to access the Service in one of its branches. However, the public nature of its branches makes it particularly important that if the customer accesses the Service from a device in one of its branches, the customer does not leave that device unattended while on-line and the customer ensures that the he has gone off-line before leaving the branch.

3. The customer must not access the Service from any device connected to a local area network (or LAN), such as an office environment, without first making sure that no one else is able to observe or copy his access or obtain access to the Service pretending to be The customer.

4. The customer must comply with any other requirements designed to protect the security of his use of the Service which are notified by QNB to the customer in any other way


RESPONSIBILITY OF PARTIES

Privacy and Confidentiality

The importance of maintaining the confidentiality and privacy of the information provided by its Customers is one of its highest priorities. The customer should carefully review its privacy policy as stated on its Website at www.qnb.com. The privacy policy is incorporated in this Agreement by reference and the customer hereby agrees that he has read the privacy policy, understood it and agrees to its terms.

HIS AUTHORITY TO QNB TO CARRY OUT INSTRUCTIONS

By giving instructions via the Service:

The customer agrees that the use of the Security Codes agreed between both parties for the Service is adequate identification of The customer. QNB s.a.q - Lebanon branch is entitled to act on instructions (using the Security Codes via the Service) without obtaining any further written or other confirmation from The customer, even if those instructions are not actually given or authorized by The customer.

The customer agrees that when the customer gives QNB an instruction via the Service (including but not limited to an instruction to transfer funds out of his account), QNB s.a.q - Lebanon branch is deemed to have received or executed the instruction only when the customer has received its confirmation that QNB s.a.q - Lebanon branch has received or executed that instruction.

Customer's Responsibilities

The customer is responsible for keeping his username, Password and account data confidential. QNB s.a.q - Lebanon branch is entitled to act on transaction instructions received using his Username and Password and the customer agrees that the use of his Username and Password will have the same effect as his signature in authorizing transactions, authenticating his identity, and verifying instructions the customer has provided to QNB. If the customer authorizes other persons to use his Username and Password in any manner, his authorization will be considered unlimited in amount and manner until the customer has notified QNB in writing that the customer has revoked the authorization and changed his username and Password, and the customer is responsible for any transaction made by such persons until the customer notifies QNB that transfers by that person or instructions regarding his account(s) are no longer authorized and QNB s.a.q - Lebanon branch has a reasonable opportunity to act upon the change of his Username and Password.

If the customer believes his Username and Password has become known by an unauthorized person, or that an unauthorized transaction has been or may be made from his account, alert the Bank immediately by calling QNB at +961 1 76 22 22 or write QNB as per section “communications between us”.

THE EXTENT OF QNB’s LIABILITY FOR THE CUSTOMER LOSS OR DAMAGE

a- QNB s.a.q - Lebanon branch will take reasonably practicable steps to ensure that its systems in connection with the Service are installed with adequate security designs and to control and manage the risks in operating the systems, taking into account any law, rules, regulations, guidelines, circulars, codes of conduct and prevailing market practices which may be applicable to QNB from time to time.

b- QNB s.a.q - Lebanon branch will not be liable for any loss or damage to the customer as a result of making the Service available to The customer, including any direct, indirect, consequential or special loss, even if QNB s.a.q - Lebanon branch has been advised of the same. Examples of circumstances in which QNB s.a.q - Lebanon branch will NOT be liable to the customer for loss or damage resulting to the customer through the use of the Service include (but are not limited to):

- Acting on an instruction which has been validly authenticated as coming from the customer but which in fact was given by somebody else; and

- Any incompatibility between his System and the Service; and

- Any machine, system or communications failure (except where such failure should has been prevented by the risks control and arrangement measures had QNB s.a.q - Lebanon branch adopted), industrial dispute or other circumstances beyond its control that lead either to the Service being totally or partially unavailable or to instructions given via the Service not being acted upon promptly or at all; and

- The customer relying on any financial information or otherwise provided as part, or by means, of the Service; and

- Any misuse of his System by the customer or anyone else; and

- Any access to information about his Eligible Accounts which is obtained by a third party as a result of his using the Service.

- Execution of his instructions being delayed or not being acted upon by the Bank.

c- The Bank will in no event be liable for any damages, including without limitation direct or indirect loss, special, incidental, or consequential damages, losses or expenses arising in connection with these Services at its site or linked site or use thereof or inability to use, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if the Bank's representatives thereof are advised of the possibility of such damages, losses or expenses. However, in the event that QNB s.a.q - Lebanon branch is held liable for any loss or damage to the customer as a result of his use of the Service, QNB s.a.q - Lebanon branch will only be liable for direct loss or damage which, in the ordinary course of events, might reasonably be expected to result from the circumstances in question and only if such loss or damage is caused by its gross negligence or willful default.

Please note that the Service has no facility for the customer to let QNB know that it is especially important to the customer that a transaction is carried out by a particular time.

d- The information and material contained in this Site, including text, graphics, links or other items are provided "as is", "as available". The Bank/Group does not warrant the accuracy, adequacy or completeness of this information and materials and expressly disclaims liability for errors or omissions in this information and material. No warranty of any kind, implied, expressed or statutory including but not limited to the warranties of non-infringement of third party rights, title, merchantability, fitness for a particular purpose and freedom from computer virus, is given in conjunction with the information and materials.

e- Access: QNB s.a.q - Lebanon branch will not be liable under this Agreement for failure to provide access or for interruptions in access to the Services due to a system failure or due to other unforeseen circumstances.

f- its Computer Equipment & his Software: QNB s.a.q - Lebanon branch will not be responsible for any errors or failures from any malfunction of the customer’s computer or a computer virus or other problems relating to his computer equipment used with the Services. QNB s.a.q - Lebanon branch are not responsible for any error, damages or other loss the customer may suffer due to malfunction or misapplication of any system the customer uses, including his browser (Microsoft Explorer®, or otherwise), his Internet Service provider, or any equipment the customer may use (including his telecommunications facilities, Computer hardware and modem) to access or communicate with the Services.

Warranty & Software Limitations

NEITHER QNB S.A.Q - LEBANON BRANCH NOR ANY SOFTWARE SUPPLIERS NOR ANY INFORMATION PROVIDERS MAKE ANY WARRANTY, EXPRESS OR IMPLIED, TO THE CUSTOMER CONCERNING THE SOFTWARE, EQUIPMENT, BROWSER OR OTHER SERVICES INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, UNLESS DISCLAIMING SUCH WARRANTY IS PROHIBITED BY LAW.

Computer-related Warranties

Neither QNB s.a.q - Lebanon branch nor any software supplier nor information provider represents and warrants to the customer that the software QNB s.a.q - Lebanon branch supply to the customer for the Services is free from any defects, computer virus or other software-related problems. In the event of such defects or computer virus caused by the QNB software, its sole responsibility shall be limited to the replacement or the reasonable cost of replacement of the software QNB s.a.q - Lebanon branch provided in connection with the QNB Services. QNB s.a.q - Lebanon branch will not be liable for any indirect, special, consequential, economic or other damages.

Bill Payments

QNB s.a.q - Lebanon branch are not responsible for postal delays or processing delays by the payee for any Bill Payment made through the Service.

General Limitation on Liability

IN NO EVENT SHALL THE BANK BE LIABLE FOR SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL LOSS OR DAMAGE OF ANY KIND INCLUDING LOST PROFITS WHETHER OR NOT THE BANK HAS ADVISED THE CUSTOMER OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE ARISING OR RELATED TO HIS USE OF QNB.

Customer Liability

QNB will only be liable for any loss the customer incurs after the date and time of reporting to QNB the loss or theft of his Access ID and Password. QNB shall not be liable if the customer incurs any loss before the date and time of reporting his loss or theft of Access ID and Password.

The customer is fully obligated to QNB to provide sufficient funds for any payments or transfers the customer makes or authorizes to be made. If QNB s.a.q - Lebanon branch completes a payment or transfer that the customer makes or authorizes and QNB s.a.q - Lebanon branch subsequently learns that the customer has insufficient funds for the transaction, the customer agrees that QNB s.a.q - Lebanon branch may reverse the transaction or offset the shortage with funds from any other deposit account(s) the customer has with QNB to the extent permissible by the applicable law and the terms of any other relevant Agreements.

Bank's Responsibility

The Bank is responsible for completing transfers on time according to the customer’s properly entered and transmitted instructions. However, the Bank will not be liable for completing transfers:

-

if, the customer does not have enough available money in the account from which a payment or transfer is to be made, if the account has been closed, frozen, or is not in good standing, or if QNB s.a.q - Lebanon branch reverses payment or transfer because of insufficient funds;

-

if any transfer exceeds the credit limit of any account or under the instructions of this Agreement;

-

if the customer has not properly followed software or QNB instructions on how to make a transfer or other transaction;

-

if the customer has not given the Bank complete, correct, and current instructions, account numbers, Username and Password, or other identifying information so that the Bank can properly credit his account or otherwise complete the transaction;

-

if the customer receives notice from a merchant or other institution that any payment or transfer the customer has made remains unpaid or has not been completed, and the customer fails to notify QNB promptly of that fact;

-

if withdrawals from any of his linked accounts has been prohibited by a court order such as a garnishment or other legal process;

-

if his Computer, his software, or the Services was not working properly and this problem should have been apparent to the customer when the customer attempted to authorize a transfer;

-

if the customer, or anyone the customer allows, commits fraud or violates any law or regulation;

-

If circumstances beyond the Bank's control prevent making a transfer or payment, despite reasonable precautions that the Bank has taken. Such circumstances include telecommunications outages, postal strikes, delays caused by payees, fires, and floods. There may be other exceptions to the Bank's liability as stated in the account agreements.

IN ADDITION, THE BANK WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, ECONOMIC, OR OTHER DAMAGES ARISING OUT OF THE INSTALLATION, USE OR MAINTENANCE OF QNB AND/OR its RELATED EQUIPMENT, SOFTWARE, OR ONLINE SERVICES.

Disclosure of Account Information to Third Parties.

While the Bank maintains strict confidentiality in all matters relating to the customer’s account(s) and business, the customer hereby further consents to the Bank (and/or any of its officers/employees) to disclose any information concerning The customer, his business, his accounts held with the Bank or another Group Member, or his relationship with the Bank or another Group Member to any of the following:

i) Any office or branch of the Bank, or any Group Member or any QNB Group branch or staff;

ii) Any agent, contractor or third party Service provider, or any professional adviser to the Bank or any Group Member;

iii) Any of his guarantor or third party security providers;

iv) Any regulatory, supervisory, governmental or quasi-governmental authority with jurisdiction over the Bank or any Group member;

v) Any person to whom the Bank or any Group Member is required or authorized by law or court order to make such disclosure;

vi) Any of the Bank's actual or potential participant or sub-participant in, assignee, or transferee of, the Bank's rights and/or obligations in relation to The customer;

vii) Any other person under a duty of confidentiality to the Bank or Group Member;

viii) Any Bank or financial institution with which the customer has or proposes to have dealings regardless of whether such recipient in each case is located in Lebanon or in another country , and regardless of whether such information will, following disclosure, be held, processed, used or disclosed by such recipient in Lebanon or another country.

The Bank will ensure that parties to whom Customer details are transferred treat his information securely and confidentially. The Bank and the QNB Group will retain his information as long as there is a business need to hold the information or as required by legal, regulatory, or accounting requirements or to protect the Bank and the QNB Group's interests.

Further, the customer agrees that his information may be used to:

i) Provide and operate any Service or product the customer require;

ii) Facilitate the provision of any Service or product to a third party for whom the customer acts as guarantor or security provider;

iii) Update and enhance his records with the Bank or any Group Member;

iv) Understand his financial needs, to advise the customer of other products and Services which may be of interest to the customer, for any purpose required by law or regulation including fraud prevention;

v) Monitor Bank's compliance with legal and regulatory requirements and with the Bank and the QNB Group's internal policy requirements; and

vi) Support the Bank's and QNB Group's business, financial and risk monitoring, planning and decision making. For the purpose of this clause, "Group Member" means any company, including QNB head Office, which is part of QNB Group, being the group of companies whose ultimate parent company is QNB.

MISCELLANEOUS

Periodic Statements

The customer’s QNB payments and transfers will be indicated on the account statements QNB s.a.q - Lebanon branch provides or makes accessible by mail or delivery Service. QNB s.a.q - Lebanon branch may also provide or make accessible to the customer statement information electronically or by some other means. the customer agrees to notify QNB promptly if the customer changes his address or if the customer believes there are errors or unauthorized transactions in any statement, or statement information.

Business Days and Hours of Operation

The Service is generally available twenty-four (24) hours a day, seven (7) days a week. However, at certain times, some or all of QNB Service may not be available due to system maintenance. A transfer initiated through before 1:00 p.m. Local Time (on a Business Day) is generally posted to his account the same day. All transfers completed after 1:00 p.m. Local Time on a Business Day or on a Saturday, Sunday or Bank holiday will generally be posted on the next Business Day.

Assignment

The Bank may assign its rights and delegate its duties under this Agreement to a company affiliated with the Bank or to any other party.

No Waiver

The Bank shall not be deemed to have waived any of its rights or remedies unless such waiver is in writing and signed by the Bank. No delay or omission on the part of the Bank in exercising its rights or remedies shall operate as a waiver of such rights or remedies or any other rights or remedies. A waiver on any one occasion shall not be construed as a bar or waiver of any rights or remedies on future occasions.

Copyright and Trademarks

The content, organization, graphics. Design, compilation, magnetic translation, digital conversion and other matters related to QNB’s Website and QNB are protected under applicable copyrights, trademarks and other proprietary rights. The copying, redistribution, use or publication by the customer of any part of its Website, except as allowed by this Agreement, is strictly prohibited. The customer does not by virtue of this Agreement acquire any ownership rights to any content, document or other materials accessed through QNB’s Website or QNB. The posting of information or materials on QNB’s Website or through QNB does not constitute a waiver by QNB of any proprietary or other right QNB s.a.q - Lebanon branch has in such information or materials.
